President Wosje called the meeting to order at 5:30 p.m.

INVITED GUESTS
Merkley welcomed Avera Health representatives, Dr. Basel, Teri Bergeleen, Stacey Lenker and Patrick Siegling. Each introduced themselves and provided background of their involvement in researching and presenting payor strategies. Further education was provided to the Board regarding the Avera Medicare Shared Savings Program Accountable Care Organization (ACO) Track 3. Information presented covered benefits of population health management, physician accountability and possible upside/downside potential from a risk perspective. Avera invited Brookings Health System to join the Track 3 ACO. Due to the Provider Services Agreement (PSA) Avera providers in Brookings are part of Brookings Health System, therefore, both the hospital and Avera clinic would be part of the ACO under the hospital’s TIN.

Guests were thanked for their informative presentation and they exited the meeting at 6:15 p.m.

After further discussion, consensus from members is to submit a letter of intent by June 1. Further discussion will take place over the next few months.

Anderson left the meeting at 6:30 p.m.

CEO Report
From his report, Merkley noted, Brookings Health System’s Educational Scholarship was awarded to Brookings High School senior, Kristina Theodosopolous. Theodosopolous will be attending Augustana University pursuing a major in biology through the pre-optometry program. In addition, Merkley noted the imaging department has engaged Sanford Health Radiologists and Obstetrics providers to assist in professionally reading OB ultrasounds, CT and MRI exams for patients who carry Sanford’s Health Plan as they were experiencing out of network costs.

CFO Report
From his report, Lindemann was pleased to share business office coding staff worked hard to reduce our Discharged Not Final Billed (DNFB) to a record low of 9 days. 2017 Net days in AR also decreased for Legacy and Enterprise. In addition, the Materials Department is streamlining purchasing by requiring Purchase Orders in advance which allows materials staff to research better sourcing while adhering to contract compliance.

CNO Report
From her report, Hillestad noted patient satisfaction service teams have been restructured due to duplication in several areas. Four new teams have been created and include front line staff with the goal of continuing to excel in and improve patient satisfaction scores. In addition, Hillestad shared Brookings Health System was recently awarded the Hurst Gold Standard of Nursing Award which recognizes outstanding nursing care and honors facilities practicing the highest standards of excellence in nursing. Brookings Health System performed significantly above the national average on several performance measures including: Communications on in-patient care, medication, discharge, and care transition; Friendliness and courtesy; Promptness in responding to patients’ needs; Nurses’ attitudes toward requests; Attention to special or personal needs; and Nursing skills.

Board Committee Reports
Administrative Committee:
The Administrative Committee met on May 16, 2017. Topics of discussion included Board of Trustees Bylaws, Investment options, Strategic Plan 2017–2019, ACO/APM and State of SD Health Plan.

Building Committee:
The Building Committee met on May 16, 2017. Topics of discussion included the Hospital Expansion/Renovation, Yorkshire Eye & Dental Clinic and Ambulance and Staff Quarters.

Finance Committee:
The Finance Committee met on May 18, 2017. The Committee reviewed and approved the April 2017 Financials, Adjustments and Payables. Additional discussion took place regarding Hospital Metrics and Investment Options.

Quality Committee
The Quality Committee met on May 16, 2017. Topics of discussion included the Infection Control Report, Patient Safety Report, Resident Safety Report, Core Measures Dashboard and ACO’s.

OLD BUSINESS
State of SD Health Plan
A conference call was held with State representatives last week. The State provided a revised proposal that is still unacceptable for Brookings Health System. Further analysis and discussion will take place in hopes of reaching a compromise that is acceptable to both parties.

Board of Trustee Bylaws
Merkley provided an overview of redlined revisions/additions to the Board Bylaws. The Administrative Committee previously reviewed the revisions in greater detail. The updated Bylaws will reflect the change from Strategic Planning Committee to Administrative Committee and its functions and the addition of the Foundation. Other sections were “cleaned up” with minor modifications and revisions.

A motion was made by Booher, second by Peterson to approve the revisions as presented.

Action: All present voted yes; motion carried.

Top 20 Award
Lindemann shared his experience on his trip to San Diego to receive the Top 20 Rural Community Hospital Award on behalf of Brookings Health System. Lindemann noted there were over 800 hospitals represented at the conference which is the nation’s largest rural health conference. Key note speakers were very good. Merkley thanked Lindemann for accepting the award on behalf of Brookings Health System.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Englund to approve the credentialing and re-credentialing requests as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.
