President Wosje called the meeting to order at 5:30 p.m.

Thank you from Mayor Keith W. Corbett:
Mayor Corbett took a moment to extend his thanks and gratitude to members for their dedication and service of time on the Hospital Board of Trustees as well as to the entire staff at Brookings Health System. Corbett stated, by regulation, the Mayor is required to provide an annual report to the City and the impact Brookings Health System is having on the economy of Brookings and the community is very notable. Corbett also noted the Mayor’s Holiday Celebration event will be held on December 7th at McCrory Gardens and encouraged all members to attend.

INFORMATIONAL ITEMS
Articles of interest included three (3) press releases from the South Dakota Association of Healthcare Organizations (SDAHO); Craig Severtson was honored with the Health Care Hero Distinguished Service Award; Brookings Health System’s Chelsey Sundberg, RN received the Young Professional Distinguished Service Award; and Senator Larry Tidemann was honored with a Distinguished Service Award in the State Legislator category. Other informational articles included “Patient Satisfaction is Overrated”, Medscape; and “Hospitalists and the Changing Face of Rural Healthcare”, Midwest Medical Edition.

Merkley stated Brookings was very well represented at the SDAHO Annual Convention in Rapid City with all three of the noted individuals who received recognition for going above and beyond in their field.

Wosje noted the article on Patient Satisfaction is interesting and gives a different perspective on quality measures and outcomes. Ellsworth noted; physicians feel pressure to provide patients what they want when it may have an adverse effect on quality scores.


REPORTS
Operational

CEO Report
From his report, Merkley noted Brookings Health System continues to build a relationship with Sanford by providing imaging reads on OB ultrasound and CT/MRI exams ordered by Sanford providers. Brookings Health System developed a plan to work with the Sanford and Avera Health insurance plans and this provides a convenient option for patients who otherwise may have received unnecessary out-of-network penalties for radiology.

CFO Report
Lindemann shared Brookings Health System will be hosting the SHIINE (Senior Health Information and Insurance Education) group out of Sioux Falls to present helpful information to seniors regarding new and open enrollment for Medicare. SHIINE representatives will present an open session and follow up with individual sessions on October 17th. More information will be provided through our media resources. Lindemann also stated the Investment Authority is progressing with the Charter and Bylaws very near completion and the RFP is in its final draft. Eide Bailly has been asked to provide assistance with the creation of the 501c (3).

CNO Report
Hillestad shared, the SD Department of Health arrived in Arlington for an unannounced survey at Arlington Medical Clinic. The survey went very well with no deficiencies found. All clinics and the hospital are preparing for influenza season with several flu vaccination clinics scheduled. Sixty-one employees were recently vaccinated at the Neighborhoods at Brookview for the first clinic.

Board Committee Reports

Finance Committee:
The Finance Committee met on September 25, 2017. The Committee reviewed and approved August 2017 Financials, Adjustments and Payables. Other topics of discussion included Surplus Cash Options, Investment Authority and SDSRS Investments.

Merkley noted the Finance Committee discussed the strategy associated with the use of cash at great length. Discussion took place on whether it would be in our best interest to retire debt or invest excess cash in the Investment Authority. Overall, the consensus amongst members was our long-term strategy is to invest while making sure we have access to cash from a large capital purchase standpoint and to retire or restructure debt prior to each COP reset percentage. The chosen investment manager will work with us on a specific investment and cash management strategy.

Quality Committee:
The Quality Committee met on September 19, 2017. Topics of discussion included Inpatient/Outpatient Core Measures, Emergency Department Performance Improvement and Outreach Specialty Clinic Services. There were no action items.


OLD BUSINESS
Foundation Director
Merkley shared Sara Schneider will be joining our team as the new BHS Foundation Director. Sara will assume the duties of the role starting on October 2nd. Sara comes to the Brookings Health System Foundation after spending the last 5 years with the SDSU Athletic Department where she served as Coordinator of Athletic Development and Special Events.

Prairie Vista Care Organization - ACO
Merkley stated Avera representatives will be invited to the October board meeting to provide an update and to answer any questions regarding the ACO. Representatives will also address governance of the ACO.

Brookings Health System Investment Authority
Merkley stated, from a strategic standpoint, once all of the required documentation is finalized, we will approach the Mayor and City Council for final approval. Shortly thereafter the RFP will be sent out to seek an Investment Manager. The Finance Committee will work with Administration on the selection process.

RCHD Extension
Merkley shared a letter was received today from Noridian as formal notification of the retroactive settlement/payment which will be made within a few weeks. Hospitals in Aberdeen and Mitchell were also accepted in the RCHD.

AHA Rural Health Care Leadership Conference
Merkley reminded members the 31st American Hospital Association (AHA) Rural Health Care Leadership Conference will be held February 4 – 7, 2018 and encouraged board members to attend if schedules allow. Please contact Wiig if you are interested in attending.

Building Committee
Due to the fact the Building Committee was unable to meet this month, Merkley provided a brief update on the renovation: the front lobby is coming along nicely and should be completed in a few more weeks which also holds true for the old outreach/new Quality department area. Site plan and landscaping progress has been delayed due to the rain but hopefully will be completed by the end of October. A Chamber ribbon cutting event is planned for the afternoon of November 3rd.


NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Booher to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.

Recruitment Update
Merkley presented a recruitment update. Newly recruited physicians in 2017 include Rachel Sunne, Family Medicine; Kayla Haines, Family Medicine; John Kinross, Hospitalist; and, Patrick Moriarty, Orthopedic Surgeon. Recruitment remains in progress for Orthopedic Surgery, ENT, Emergency Medicine, Optometrist, OB/Gyn and Dermatology. The 3rd annual physician recognition event will be held on November 16th at Craft Fusion Restaurant to welcome new physicians and honor Dr. Cecil for 25 years of service and Dr. Warren for 35 years of service. Formal invitations will be sent soon.

Merkley also noted Brookings Health System’s Outreach Specialty Clinic has shown significant growth over the last five (5) years. Today, fifteen different groups provide fourteen specialty services. The specialty clinic averages 250 visits per month and generates over $2 million in gross charges from ancillary services ordered by those outreach providers.

October Board Meeting – 5pm start
Due to a scheduling conflict, the October board meeting will begin at 5:00 p.m. versus 5:30 p.m. Committee and board meetings will be held in the new board room beginning in October.
