Merkley noted the Mayo Clinic article which speaks about an unfortunate situation for the hospital in the rural city of Albert Lea, Minnesota. Since the merger with Mayo in 1996 the hospital has experienced services and support slowly bleed away and force residents to travel more than 23 miles to deliver their babies and have surgery.

Operational

CEO Report
Merkley noted results of the employee Caring & Sharing and United Way giving campaigns saw an increase in donations over last year; total donations came in at nearly $25k. Also noted, an update to the Brookings Health System website is currently underway. Improvements will make the site more user-friendly and will provide the ability to be continuously updated as our current website platform is outdated. The new website will be operational in early 2018.

CFO Report
Lindemann noted Net Days in AR dropped to a record low of 52 in October which is the result of many incremental changes that have taken place over the year. He also noted the Rural Demonstration Project (RCHD) retroactive reimbursement of $400k for 2015 was received.

In Hillestad’s absence, due to illness, Merkley thanked the Board for their participation and noted the Annual Physician Recognition evening held earlier this month was a great success with very good interaction amongst all who attended.

Board Committee Reports
Administrative Committee:
Administrative Committee member, Morgan, provided a report; the Administrative Committee met on November 21, 2107. Topics of discussion included Brookings Health System Investment Authority, Orthopedics - Recruitment/Future, Board Appointment, Board Calendar and the Annual Board and CEO Evaluations. There were no action items.

Building Committee:
Building Committee Chair, Englund, provided a report; the Building Committee met on November 21, 2017. Topics of discussion included Hospital Expansion/Renovation (schedule, site plan/landscaping, punch list, cost estimate/actual), Yorkshire Eye and Dental Clinic, Ambulance Garage/Building and buildout timeline of the 2nd floor of the Medical Plaza. There were no action items.




Finance Committee:
Finance Committee Chair, Peterson, provided a report; the Finance Committee met on November 21, 2017. The Committee reviewed and approved October 2017 Financials, Adjustments and Payables. Toby Morris, Financial Consultant from Dougherty & Associates, was present to provide committee members a recap of the BHS Investment Authority. Other topics included Orthopedics and the 2018 Operating Budget.

Lindemann provided an overview of assumptions for the proposed 2018 budget for both Enterprise and Legacy operating budgets. Bottom line margins are budgeted at 2.71% and 5.67% respectively. Merkley noted Brookings Health System is in a good position to continue to grow and move forward financially.

A motion was brought forward from the Finance Committee to approve the FY18 Enterprise and Legacy Operating Budget as presented. The motion was seconded by Englund.

Action: All present voted yes; motion carried.

Lindemann also provided an update to the Brookings Health System Debt Capacity Analysis presented by Eide Baily three (3) years ago. Current and projected net positions are better than what Eide Bailly had forecasted.

Quality Committee:
Quality Committee Chair, Ellsworth, provided a report; the Quality Committee met on November 21, 2017. Topics of discussion included Q1 2017 Outpatient Quality Measures, Compass Hospital Improvement Innovation Network, Influenza Vaccine Update and Nursing Competency Fair. There were no action items.

OLD BUSINESS
Brookings Health System Investment Authority
Merkley noted the second reading of the supplemental ordinance will take place at the City Council meeting on December 12th. Attendance of other Board members was encouraged. The RFP, seeking an Investment Manager, has been sent to ten regional investment firms.

RCHD Extension
Merkley noted, as Lindemann previously stated, reimbursement for 2015 has been received. Mitchell and Aberdeen are also participating in the RCHD.

Board Calendar
An updated draft calendar of reoccurring items requiring Board attention/action was provided. Members were asked to inform Anderson or Wiig if anything needs to be changed or added. Ellsworth requested a review of the PSA (Provider Services Agreement) be added on a yearly basis. This will be added to the calendar for the month of September.






Prairie Vista Care Organization
Merkley stated the first board meeting for the Prairie Vista Care Organization-ACO was held yesterday, November 29th. All governance agreements have been completed and approval of many contracts took place. The startup date of January 1, 2018 is on target. A short video was played, ABC’s of ACO’s, which covered basic components of what an ACO is and how it operates.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Morgan to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.

Amended FY18 Capital Budget (Action) – Mako Robotics
Merkley stated, as discussed in Administrative and Finance Committees, we are in the midst of recruiting an additional orthopedic surgeon. Dr. Mark Mayer would like to relocate to Brookings if BHS commits to purchasing an orthopedic Mako robot. Dr. Mayer is fully trained in this cutting edge orthopedic robotic technology. Merkley presented information on the Stryker Mako Program, market assessment and goals, pricing and expectations and operational rollout. The Mako Robotic-arm assisted system is an innovative surgical technology that treats orthopedic patients with debilitating knee and hip pain. Projected Mako system placements are expected to expand greatly into the region. Other health system benefits include market opportunity/increased volume and return on investment. Benefits from a patient perspective, claim to include restored quality of life, minimally invasive, shorter recovery and less pain. There has been a tremendous amount of growth in the orthopedic industry due to robotics and strategically this follows the mission of the Board; to be in the market with state-of-the-art technology and equipment. Consensus amongst members is to move forward with recruitment of Dr. Mayer and, if a commitment is reached, proceed with the purchase of the Mako robot.

A motion was brought forward from the Finance Committee to approve the amended 2018 Capital Budget as presented which includes the cost of a $1.35M Mako Robot. Anderson seconded the motion.

Action: All present unanimously voted yes, motion carried.

2018 Board/Committee Dates
Members reviewed proposed 2018 Board and Committee meeting dates. Changes can be still be made if needed. Election of Board Officers and Committee Chairs will take place at the December Board meeting.

Annual Board Evaluation
Members were asked to complete the Annual Board Evaluation form and return it to Wiig or Anderson by December 11th. The Administrative Committee will compile results for further discussion at the December Board meeting.




EXECUTIVE SESSION
A motion was made by Morgan, second by Englund to enter into executive session at 6:52 p.m. in accordance with SDCL 1-25-2(1), discussing personnel. Motion carried.

Members present were Anderson, Sell, Wosje, Morgan, Booher, Ellsworth, Englund and Peterson; Ex officio member Kidwiler, was also present.

While in executive session the Board discussed initiating the CEO annual evaluation process with forms due back by December 11. Anderson noted, medical staff surveys and industry salary indicators will be reviewed by the Administrative Committee with a recommendation to the Board in December. A motion was made by Sell at 6:58 p.m. to exit executive session, Englund seconded. Motion carried.

Upon motion by Sell, second by Anderson the meeting adjourned at 6:59 p.m.
