President Wosje called the meeting to order at 5:30 p.m.

EDUCATION
Prairie Vista Care Organization, Teri Bergeleen, Provider Contracting Manager at Avera Health
Merkley welcomed Avera representative, Bergeleen, who presented an update on the Prairie Vista Care Organization (ACO). For new board members present, Bergeleen began her presentation with a brief overview of an ACO. An ACO places focus on quality of care or value-based care versus fee for service and develops programs to assist the provider in how they care for and manage the patient population. Avera Health has been involved with the ACO concept for three (3) years and data received from CMS reflects a positive impact in coordinated care. ER visits and hospital stays have decreased while preventive care doctor visits have increased. Brookings Health System began participating in the Prairie Vista Care ACO January 1, 2018. There are a total of 19,413 attributed lives across eleven different communities/organizations. Brookings Health System has 2,019 attributed lives which is approximately 10% of the total; 45% of those are older than 75 years of age. Discussion took place regarding moving from Track 1 with 50% of savings and no downside risk to a risk based ACO. The goal is to present further data later this month to assist Merkley and the Board in the decision to potentially transition to a risk based ACO.

Bergeleen was thanked for her presentation and she exited the meeting at 6:03 p.m.

CEO Report
Merkley noted Brookings Health System’s website is now fully functional. The website was updated with user friendly navigation and mobile device usage as well as a modern look. According to Google AdWords, traffic on the new website has greatly increased and users are having an easier time locating what they are searching. In addition, Brookings Health System was named one of the Top 100 Rural & Community Hospitals in the US for the 3rd consecutive year. Merkley also provided a brief recap of the active shooter drill held earlier this month. The drill was a good experience for all agencies and staff involved to work on emergency preparedness.

CFO Report
Lindemann stated April finances were not as favorable as the past few months but process improvements and cost savings measures are in process to assist throughout the rest of the fiscal year. Days in AR are once again below benchmark.

CNO Report
Hillestad shared new protocols have been initiated for patients presenting to the emergency room with stroke symptoms. A multidisciplinary team was formed to develop processes and policies to implement newly approved standards that have shown to improve the devastating effects of a stroke. A Performance Improvement project is being done to monitor compliance with the new measures. 1st quarter results for 2018 have been positive with an overall compliance of 75%. Efforts will continue toward 100% compliance. Hillestad also provided an update on the rural clinics which included education to clinic staff on ACO quality measures.

Board Committee Reports
Building Committee:
Building Committee Chair Englund provided a report; the Building Committee met on May 22, 2018. Topics of discussion included the 22nd Avenue project, Ambulance Station & Education Center, 2nd Floor Medical Plaza, Hospital Expansion/Renovation and Yorkshire Eye/Dental Building. The committee moved to approve awarding the Ambulance Station project to low bidder, Mills Construction.


Finance Committee:
Finance Committee Chair Peterson provided a report; the Finance Committee met May 24, 2018. A guest speaker from Advanced Asset Alliance (AAA) provided information on their collection policies and practices. The committee also reviewed and approved April Financials, Adjustments and Payables.

OLD BUSINESS
BHS Investment Authority
Merkley shared returns have been good despite market volatility. An update will be provided to the finance committee as we are near our six month investment timeframe.

Amended City Ordinance
Merkley noted, now that the amended City Ordinance pertaining to Brookings Health System has completed both first and second readings and has been approved, the Administrative committee will review and update the board bylaws to be reflective of the ordinance. A final version will be brought forward to the board for approval.

Merkley also noted City Councilor, Dan Hansen, has been appointed to serve on the board as an ex officio member replacing Mayor Corbett.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Englund to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.

Action: All present voted yes; Motion carried.

Performance Dashboard – Q1 2018
Performance data for Q1 2018 was provided for both the Hospital and The Neighborhoods at Brookview. Merkley commented other than lower volumes trends are mostly positive.

Merkley shared information regarding Skyline Healthcare who operated many skilled nursing facilities in South Dakota as well as other states. Skyline Healthcare is dissolving and filed legal action with the Court to appoint a Receiver for the operations of the facilities; the Court appointed Black Hills Receiver, LLC. The Receiver will work with the State DOH and leaders of the facilities with the goal of continuity of care for the residents. Their self-funded insurance plan with Cigna has been dissolved as well and claims were not being paid. Several facilities are being impacted by this very unfortunate situation. Brookings Health System is currently waiting on payment of claims for services rendered of nearly $100k from the employees and beneficiaries of mainly those who were covered under the Arlington Care and Rehab Center plan.
