President Wosje called the meeting to order at 5:30 p.m.

INVITED GUEST – Al Heuton, Brooking Economic Development Corporation
Wosje welcomed and introduced Al Heuton, BEDC’s Executive Director. Heuton thanked the board for being a major contributor to BEDC and Vision Brookings over the years. Heuton presented an overview of data and statistics on progress that has and is taking place in Brookings and the surrounding area. BEDC’s primary goal is to promote economic growth and serve as an advocate for the business community by providing entrepreneur support and workforce development. Currently there are over 1,400 jobs in Brookings County that are unfilled and being advertised and over the next ten (10) years we will need to replace 6,500 jobs for individuals who will reach retirement age. Current initiatives are focusing on retention, retraining, workforce alliances and partnerships. Since 2006, BEDC has assisted 50 businesses, increased FTE’s by 889 and impacted annual payroll by $73M. Brookings has also been recognized as the #1 Best Place to Live in South Dakota.

Heuton was thanked for his BEDC update and he exited the meeting at 5:55 p.m.

INFORMATIONAL ITEMS
Merkley shared Brookings High School senior, Brittney Hogie, was the recipient of the Brookings Health System Educational Scholarship, Hogie will be attending Mount Marty College to pursue a nursing degree and plans to further her career path with a nurse anesthetists degree. Hogie is employed at Brookings Health System as a Certified Nursing Assistant at The Neighborhoods at Brookview. Articles of interest included “Affiliations: A Clear Strategy”, Trustee; “Prairie Lakes Healthcare System”, Midwest Medical Edition; “Student Room at Brookings Health System, College of Nursing; and “Navigating Change”, Trustee. Brookings Health System’s Community Benefit Report was also provided to all members present. The report will also be shared with City Councilors, County Commissioners and other business leaders and will soon be available on Brookings Health System’s website.

CEO Report
Merkley noted Avera Medical Group Brookings recently went live with the latest 3D mammography technology from GE and is the 2nd location in the state to receive GE’s latest model. Brookings is fortunate to be able to offer this service locally. Also, Dr. Catherine Leadabrand extended a nice note of praise to hospital leadership regarding how grateful she is to be associated with such caring co-workers who show genuine interest in patients’ lives.

CFO Report
Lindemann noted there were 36 individuals who attended the SHINE (Senior Health Information & Insurance Education) presentation earlier this month to learn more about Medicare. Two more sessions will be added this fall prior to enrollment. Lindemann also shared the Business Office director has resigned and the position is posted.

CNO Report
Hillestad noted challenges are being experienced by the Case Management department with various Medicare Advantage insurance plans denying payment for services. We are researching different software programs that will help justify our services and level of care determinations which should result in payment for services. In addition, a small gathering of friends, physicians and staff gathered for Dr. Tesch’s retirement to show appreciation for his many years of service.

Committee member Morgan provided a report; the Administrative Committee met on June 19, 2018. Topics of discussion included Lake Area Technical Institute/Build Dakota Paramedic Scholarship, Brookings Health System Community Benefit Report, Regal Building – Cardiac Rehab/Sports, Joint Camp and Brookings Health System Board of Trustee Bylaws.

Building Committee:
Committee member Wosje provided a report; the Building Committee met on June 19, 2018. Topics of discussion included the Ambulance Station & Education Center, 2nd Floor Medical Plaza, Hospital Expansion/Renovation, Yorkshire Eye/Dental Building and The Neighborhoods at Brookview broken sprinkler head.

Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met on June 21, 2018. The committee reviewed and approved May 2018 Financials, Adjustments and Payables. Additional topics of discussion included 5-year Pro-forma Income and Cash Flow Statements, Borrowing Summary and the Accounting Manager position.

Quality Committee
Committee Chair Ellsworth provided a report; the Quality Committee met on June 19, 2018. Topics of discussion included Hospice Quality Reporting Program, Home Health Conditions of Participation, Inpatient Quality Dashboard, and the National Rural Health Association Top 100 Hospital Award.

OLD BUSINESS
Recruitment
Merkley provided an update on physician recruitment noting Dr. Tesch will officially retire tomorrow, June 29th and Dr. Jennifer Williamson will be relocating to Rapid City near the end of July. To help plan for Dr. Gudvangen’s retirement in 2019, Dr. Kirsten Sholes, OBGYN will be joining the medical staff in September and Tyler Harrell, podiatrist, will be arriving in August. Recruitment efforts continue for Optometry, ENT and Orthopedics.

Prairie Vista Care Organization
Merkley presented ACO data provided by Milliman, an independent actuarial firm with consulting practices in healthcare. Due to the length of time Brookings Health has been in the Prairie Vista ACO, detailed claims experience is limited; however data suggests positive Track 1 experience with good documentation on wellness visits and cost of care versus CMS benchmark. Based on current information, Milliman and Avera are recommending BHS consider transitioning to a risk bearing Track 3 ACO in 2019. Merkley and the board will continue to discuss options and will make a decision by the end of July.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Morgan to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.

HealthStream to Press Ganey
Hillestad shared Brookings Health System was notified in April that our patient satisfaction vendor, HealthStream, was being acquired by Press Ganey. Many steps have taken place since the announcement to prepare for the conversion. Press Ganey will assume responsibility for all Patient Satisfaction services as of July 1, 2018. There will be no changes in our rates or type of satisfaction surveys with this transition to Press Ganey. Staff training will take place later this year and there may be additional educational opportunities.

Brookings Health System Board of Trustee Bylaws
Merkley provided an overview of updates made to the Board Bylaws. The Administrative Committee previously reviewed the revisions which were made to mirror verbiage of the updated City Ordinance. Other minor grammatical corrections were made as well. A motion was made by Morgan, second by Peterson to approve the bylaw revisions as presented.

Action: All presented voted yes; motion carried.
