CNO Report
Hillestad commented on the excellent work being done in the OB department. Due to a collaborative effort between the Maternal Child Committee and Medical staff the quality measure regarding elective deliveries prior to 39 weeks is at 1% and the C-section rate is at 11%. Both measures are outperforming state and national rates.


Board Committee Reports
Administrative Committee:
Committee member Wosje provided a report; the Administrative Committee met on January 22, 2019. Topics of discussion included Bartley Optical, 2019 TeamShare Incentive, Avera Board of Consultors, Legislative Update, February Board meeting, Prairie Vista ACO, and Human Performance Center Concept. Merkley noted he is pleased Governor Noem’s budget proposes a 2.5% inflationary increase for Medicaid providers. SDAHO (South Dakota Association of Healthcare Organizations) is currently monitoring 88 bills related to healthcare and our local Legislative Cracker Barrel/Coffee will be held on January 26th, February 9th and February 23rd in the Brookings City/County Building beginning at 9:00 a.m. Members were encouraged to attend if schedules allow.

Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met on January 24, 2019. The Committee reviewed and approved preliminary December 2018 Financials, Adjustments and Payables. FY19 TeamShare Finance Incentive goals were also discussed. A recommendation for Board approval of FY19 Finance TeamShare thresholds is addressed under New Business.

Quality Committee:
Committee Chair Ellsworth provided a report; the Quality Committee met on January 22, 2019. Staff Chaplain, Gregg TeBeest provided an overview of Brookings Health System’s Pastoral Care program. Other topics of discussion included Skilled Nursing Facility Value-Based Purchasing, 2018 Death Audit/Dakota Lions Sight & Health Summary and 2019 Quality TeamShare Incentive goals. A recommendation for Board approval of FY19 Quality TeamShare thresholds is addressed under New Business.

OLD BUSINESS
AHA Rural Healthcare Leadership Conference
Merkley stated registration, travel and hotel arrangements to the Rural Healthcare Leadership Conference have been completed. Board member attendees include Englund, Anderson and Darnall. Board members from Huron, Watertown and Madison will also be in attendance.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Peterson to approve the credentialing as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.

Employee Appreciation Event – February 15th
Merkley encouraged all members to come out and have some fun with the staff on Friday, February 15th at the Swiftel Center for the Employee Appreciation event. Several staff members will be recognized for years of service. Social hour begins at 5:30 p.m.

FY19 TeamShare
Merkley provided information on the proposed FY19 TeamShare Incentive Program. Both Quality and Finance Committees reviewed the recommended FY19 TeamShare Incentive tiers respectively. The program combines quality and financial pillar goals for Brookings Health System.
Quality Committee Chair Ellsworth made a motion to approve the proposed TeamShare Incentive Program as carried forward from both the Quality Committee and Finance Committee. Quality incentive tiers are recommended to be set at 84%, 84.5%, 85%, and 85.5% and Finance tiers are recommended to be set at 4.70%, 5.03%, 5.36%, and 5.68%. The motion was seconded by Finance Committee Chair Peterson.

Action: all present voted yes; motion carried.

Merkley also noted 2018 TeamShare was not met due to the operating margin falling below the 1st tier goal; however Brookings Health System excelled in Quality with patient satisfaction results expected around 84.5%.

Conflict of Interest
Annual Conflict of Interest Statements were distributed. Members were asked to review, sign and return them to Wiig.


Upon motion by Wosje, second by Anderson, the meeting adjourned at 5:55 p.m.
