The Board Meeting was held in the new Ambulance Station & Education Center classroom. Merkley read a letter of thanks from Gordon Dekkenga, Ambulance Station Director and the ambulance service staff. They are all very appreciative of the Board’s support for the new facility.

President Morgan called the meeting to order at 5: 25 p.m.

Articles of interest included “Health systems look to boost employee retention through minimum wage hikes”, Modern Healthcare; “Q&A, This is the very beginning of what I think will be about a 25-year rollout”, Modern Healthcare; and The Board and CEO Relationship.

Merkley commented on “The Board and CEO Relationship” information which was presented at the AHA Rural Healthcare Leadership Conference earlier this month. The session was good and addresses the importance of the board and CEO relationship and that it is optimized through trust, transparency and understanding.

REPORTS
Operational
CEO Report
Merkley noted Brookings Health System was, again, recently selected by The National Rural Health Association and The Chartis Center for Rural Health as one of the top 100 rural and community hospitals for 2019. Kudos to our staff for the recognition we continue to receive as one of the top performing rural facilities.

Merkley also noted the Sleep Diagnostics Lab completed its move from Brookhaven Estates to the Hospital and everything is going well. The in-home sleep study is a new service Bookings Health is providing which costs significantly less than an in-lab study to detect obstructive sleep apnea. The study can be performed in familiar surroundings and also provides convenience for patients who are home-bound, elderly or require specialized care from a nurse or family member overnight.

CFO Report
Wagner noted productivity department reviews are being conducted to fine tune standards. The Information Technology department is assisting with data analytics knowledge/tools to help directors make real time decisions as volumes increase and decrease. Also, the 2018 audit field work went well and final results will be presented next month to the Board.

CNO Report
Hillestad commented, new standards of care have been implemented regarding safety and care for individuals with dysphagia, a swallowing disorder and the surgical team is in the process of implementing an Enhanced Recovery after Surgery program or ERAS. The program provides education/instructions to patients for larger surgical procedures to help them recover more quickly and provide better pain management.




Board Committee Reports
Administrative Committee:
Committee member Wosje provided a report; the Administrative Committee met on February 19, 2019. Topics of discussion included Bartley Optical, 2nd Floor Medical Plaza, BHS Investment Authority, Legislative Update, The Neighborhoods at Brookview generator and Human Performance Center Concept. Further discussion took place regarding the damaged generator at The Neighborhoods at Brookview. Davidson suggested contacting the vendor for further discussion on warranty and replacement. Merkley shared BHS is in contact with the vendor and property insurance carrier while we assess next steps to repair the existing unit or replace with a new generator.

Building Committee:
Committee Chair Englund provided a report; the Building Committee met on February 13, 2019.
Topics of discussion included the Ambulance Station & Education Center, Yorkshire Eye Clinic Dental Area, Snow Removal Expense and 2nd Floor Medical Plaza Programming and Conceptual Design. Merkley presented the conceptual floor plan for the 2nd floor which projects there will be room for a total of 8 providers. Discussion took place regarding the $1.65M estimate and construction timeline. Members also agreed it will be a good time to complete the parking lot expansion estimated at $75k. Funds for the project will used from operations.

A motion for approval was brought forward from the Building Committee to proceed with the second floor fit-up and parking lot expansion under the Construction Manager at Risk concept and engage TSP in negotiation for a contract to manage the planning, design and construction administration as well as assist BHS in soliciting a general contractor to join the team under the CMR process. The motion was seconded by Anderson.

Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met on February 21, 2019. The Committee reviewed and approved January 2019, Financials, Adjustments and Payables. Other topics of discussion included Year end GASB Reporting Changes and 2nd Floor Medical Plaza.

Quality Committee:
Committee Chair Ellsworth provided a report; the Quality Committee met on February 19, 2019. Topics of discussion included CMS Validation Request, Infection Control Dashboard and Patient Experience Q4 2018 results.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, second by Wosje to approve the credentialing as recommended by the Medical Executive Committee.

Q4 Performance Dashboard
Merkley reviewed the overall pillars of success (Finance, Growth, People, Quality, and Service) performance snapshot for the Hospital and The Neighborhoods at Brookview. Q4 2018 trends were mixed with some areas of opportunity from a financial perspective, but, overall a successful year. The Neighborhoods at Brookview continues to do well and remains a 5 star facility.

STRATEGIC DISCUSSION
AHA Rural Healthcare Leadership Conference
Members who attended the AHA Rural Healthcare Leadership Conference (Englund, Anderson and Darnall) provided feedback regarding their session experiences. Consensus amongst the group was the conference, overall, was very worthwhile and well attended by others across the country involved in rural healthcare and it was great to share experience and network with them.


Merkley noted the Employee Appreciation Evening went well and everyone had a fun time. Merkley thanked those board members who were able to attend.
