Merkley welcomed and introduced Avera representative, Teri Bergeleen, Director of Provider Contracts and ACO Operations. Bergeleen provided an update on national trends, Avera’s Accountable Care journey and the positive impact the ACO is having on health outcomes. The ACO focuses on quality of care (outcomes achieved) versus fee for services performed and develops programs to assist providers in how they care for and manage the patient population of those 65 years of age and older on Medicare. Bergeleen also shared information on changes made to the ACO program by CMS as a way to encourage other facilities to move towards a risk based ACO. Avera Medical Group Brookings, a department of Brookings Health System, has done a very good job educating providers and encouraging patients towards preventable care. On July 1, Brookings Health System will transition to the Enhanced ACO, Prairie View Care Organization, which will be one of 29 sites. Bergeleen was thanked for her presentation and she exited the meeting at 5:55 p.m.

CEO Report
Merkley noted Brookings Health System has applied for the Skilled Nursing Facility 3-Day Rule Waiver which supports our new Prairie View Care Organization’s efforts to increase quality and decrease costs. The waiver will be implemented July 1. Merkley also commented Brookings Health System will be celebrating National Hospital and Nursing Home Week May 12 – 18. Several fun events are planned throughout the week as a way to recognize our team.

CFO Report
Wagner provided further explanation on the increase in “Net Days in AR”, which is due to a significant delay in processing of patient claims by insurance payors. Wagner also noted beginning June 1, placement of collections will be moved to one agency which will result in significant savings for the hospital.

CNO Report
Hillestad commented on continued success of the collaboration with the SDSU Nursing program. Several SDSU senior nursing students have been onsite to research and create educational videos on five (5) different diseases and their warning signs. The Case Management department is also assisting with a doctoral student’s research project on readmission factors relating to congestive heart failure.


Board Committee Reports
Administrative Committee:
Administrative Committee member Wosje provided a report; the Administrative Committee met on April 23, 2019. Topics of discussion included Bartley Optical, 2nd Floor Medical Plaza, CEO Employment Contract, Elkton Clinic, Enhanced ACO/Prairie View Care Organization and BEDC Board Seat.

A motion was brought forward from the Administrative Committee to approve the purchase price of $117k and move forward with the acquisition of MD Bartley Opticians. The motion was seconded by Anderson.

Action: All present voted yes; motion carried.

Finance Committee:
Finance Committee Chair Peterson provided a report; the Finance Committee met on April 25, 2019. The committee reviewed and approved the payables, adjustments, and financials for March. Peterson also reported on the Finance Committee meeting held in March which focused on the 2018 Audit.

Quality Committee:
Quality Committee Chair Ellsworth provided a report; the Quality Committee met on April 23, 2019. Clinic Manager, Patrick Siegling presented information on the three primary Accountable Care Organization quality programs and patient satisfaction survey results. There were no action items.

OLD BUSINESS
CEO Employment Agreement
A red lined version of the agreement was brought forward from the Administrative Committee for review. Discussion took place on specific information that should be documented in a standard employment contract. The residential requirement to reside within the city limits of Brookings will be updated to state the CEO must reside within the City or Brookings County. Further minor updates will be completed for review in June.

NEW BUSINESS
Top 20 Rural Hospital - NRHA
Merkley informed the board the health system will be recognized at the awards ceremony during NRHA’s Rural Hospital Innovation Summit on May 9 in Atlanta. Merkley will be attending the ceremony to accept this prestigious Top 20 Rural Community Hospital award on behalf of Brookings Health System. The Midwest Medical Edition magazine will be featuring Brookings Health System and Prairie Lakes for achieving this honor.
