President Morgan called the meeting to order at 5:10p.m.

Meditech Expanse
Merkley welcomed and introduced Amanda Lehman, Regional Information Officer from Avera and Jesse Blommer, IT Supervisor at Brookings Health System. Lehman presented an overview of the Meditech Expanse (One AveraChart) project and the education and training that will be taking place over the next several months for Brookings Health System. Avera is implementing a standardized, integrated Electronic Medical Record across their system to enhance integration and continuum of patient care. Currently, there are seven (7) different EMR platforms/databases; One AveraChart will integrate the platforms into one record regardless of the care setting which is a great advantage for patients and providers in our region. Brookings Health System will remain independent while improving how we take care of our patients through a standardized electronic medical record. Brookings Health System will be “accessing” the Meditech Expanse EMR through an Avera hosted model application. The web-based, Meditech Expanse transition is targeted to go live at Brookings Health System on March 1, 2020 and will come with many workflow changes for all involved.

Merkley commented this is a big commitment not only in up-front cost but also in the time devoted to end user training and education; however, the most important reason for the commitment to upgrade is to take better care of our patients by allowing our caregivers to access as much information on the patient as possible within the EMR.

Merkley shared, Sydney Bormann has been chosen as this year’s recipient of the Brookings Health System Health Professions Scholarship in SDSU Athletics. Bormann is active in Women’s Golf and is majoring in Human Biology.

CEO Report
Merkley noted the 10th Annual Aiming to Inspire Health sporting clays fundraiser was a success raising nearly $20k which was used to purchase specialized Ear Nose & Throat surgical equipment.
The 6th Annual Team Isaac Memorial Golf tournament was also a success raising $11,500 to be used to purchase Safe to Sleep gift packs. Merkley also noted The Neighborhoods at Brookview remains one of the top facilities in the country and continues its 5 Star status in all quality measures. The Neighborhoods at Brookview is the only perfect 5 Star facility in the State of South Dakota.

CFO Report
Wagner commented Brookings Health System has partnered with a new language interpreting vendor. CyraCom utilizes face to face video via the use of an iPad for language translation. CyraCom also provides an interpreter for sign language. The cost per call is less than our previous vendor and adds more value to our translation services for our patients and staff. Wagner also noted, with the addition of Dr. Kneip at Yorkshire Eye Clinic & Optical, projected net operating income looks very positive.

CNO Report
Hillestad commented as part of State requirements, all three Brookings Health System rural health clinics (Arlington, Volga and White) recently conducted mock surveys which included onsite inspections with infection control and patient chart reviews. All clinics were found to be compliant and survey ready. Hillestad also provided further explanation on the new USP (United States Pharmacopeia) guidelines for the hospital pharmacy which focuses on sterility of drugs and safety of hazardous medications.

Administrative Committee:
Committee member Wosje provided a report; the Administrative Committee met on August 20, 2019. Topics of discussion included Meditech Expanse, 2nd Floor Medical Plaza, CEO Employment Contract, Elkton Clinic, Da Vinci Robot, BHS Insurance RFP, FY 2020 Capital Budget, and Provider Update. There were no action items.

Building Committee:
Committee Chair, Englund provided a report; the Building Committee met on August 20, 2019. Topics of discussion included 22nd Avenue Reconstruction, 2nd Floor Medical Plaza, Parking Lot projects and Yorkshire Plaza. There were no action items.

Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met on August 22, 2019. The committee reviewed and approved the payables, adjustments, and financials for June and July. Other topics included The Rural Community Hospital Demo Program.

Quality Committee:
Committee Chair Ellsworth provided a report; the Quality Committee met on August 20, 2019. Clinical Quality Specialist, Emily Delbridge, presented information on current LEAN projects taking place at Brookings Health System. Other topics included Patient Harm Score methodology and an update on Contracted Patient Services. There were no action items.

Morgan announced this topic will be addressed in an Executive Session.

NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, seconded by Darnall to approve the credentialing and re-credentialing from July and August as recommended by the Medical Executive Committee.

Action: All present voted yes; motion carried.

Board Member Terms
Merkley stated there are three (3) board members coming to the end of their term this year with the option to serve an additional term. City representatives include Englund and Darnall and County representative Anderson. After discussion, all are interested in serving another three (3) year term. Steps will be taken to make a formal recommendation to the City and County.

EXECUTIVE SESSION
A motion was made by Anderson, seconded by Wosje to enter into Executive Session at 6:29 p.m. in accordance with SDCL 1-25-291, discussing personnel. Members present were: Jason Merkley, Jim Morgan, Daryl Englund, Sheila Anderson, Lynn Darnall, Bill Davidson (via ph.), Andrew Ellsworth, Dick Peterson, Justin Sell, Walt Wosje and Ex-Officio members Leah Brink and Dan Hansen. Motion carried.

While in executive session, the Board engaged in discussion regarding the CEO employment contract template. The template will be used for a starting point on an employment contract for any future CEO. The Administrative Committee updated the template based on industry research and included clauses for confidentiality and severance. In addition, the template was adjusted for benefits and other changes in current practices. Merkley’s employment contract will not be updated at this time.

Upon motion by Sell and second by Wosje, the executive session concluded at 6:42 p.m. and continued in regular session.

A motion was made by Wosje, seconded by Englund to approve the CEO Employment Contract template. The Board unanimously approved.


Upon motion by Anderson, second by Peterson the meeting adjourned at 6:43 p.m.
