President Morgan called the meeting to order at 5:15p.m.


INVITED GUEST

Tim Rave, President & CEO of South Dakota Association of Healthcare Organizations (SDAHO) provided an overview and update on the value of SDAHO and related advocacy initiatives that are taking place this year in Pierre. SDAHO serves as a voice for hospitals and healthcare organizations across South Dakota representing membership with the goal of ensuring the highest quality of care for South Dakotans. The association, formed in 1926, is a not-for-profit organization spanning various types of institutional ownership, geographic location, size, and complexities of service. Members include 54 hospitals/health care systems, and 31 post-acute care nursing facilities, home health agencies, assisted living centers, and hospice organizations. SDAHO serves its membership through education and advocacy by staying informed of challenges and changes in a demanding industry.


Attending with Rave was Michella Sybesma, Director of Education, Deb Peters, CFO and Tammy Hatting, Vice President of Post-Acute Care and Education. Hatting shared an update on Medicaid, noting three factors impacting Medicaid in SD are low reimbursement rates, workforce and federal regulations. There have been six (6) SD nursing home closures in the last 20 months despite the adjustment in Medicaid nursing home provider rates last year. South Dakota Medicaid rates are still the lowest in the nation and funding must remain a priority.


Several SDAHO hosted Legislative Forums will be held next month which will allow for open discussion on issues impacting health care in South Dakota. Brookings’ forum will be held at 5pm on December 18 at the Brookings Public Library.


SDAHO representatives were thanked and they exited at 5:54 p.m.


INVITED GUEST

Sara Schneider, Director of the Brookings Health System Foundation presented information on upcoming Foundation events including its 10th Anniversary Celebration and South Dakota Day of Giving. Several committees are working together to plan and promote events throughout 2020 in celebration of the Foundation’s 10th Anniversary. South Dakota Day of Giving will take place on December 3rd and the Foundation’s goal is to have 100 people donate $20 to help fund resident activities at The Neighborhoods at Brookview. A fun marketing campaign featuring Jason Hanssen in “Mister Hanssen’s Neighborhoods” videos have been created.


Schneider was thanked and she exited at 6:05 p.m.

Merkley noted Open Enrollment for employee benefits will take place until December 2nd. Brookings Health is changing to an open network which will be administered by United Health Care/UMR. There will be a small increase in premiums for health insurance in 2020. Dental coverage will continue with Delta Dental and vision coverage with Avesis.

CNO Report

Hillestad noted several departments are very busy working through all processes and workflows in preparation of the upcoming Meditech Expanse implementation in March 2020. A recent release from the South Dakota Department of Health is asking all clinicians to report suspected cases of vaping or E-Cigarette associated lung illness to the DOH.


Board Committee Reports

Administrative Committee:

Committee member Wosje provided a report; the Administrative Committee met on November 19, 2019. Topics of discussion included Meditech Expanse, Board Member Reappointments, FY20 Operational Budget, 2020 Meeting Dates, CEO’s Annual Evaluation, Board Evaluation, Clinical Documentation & Improvement Specialist/Computer Assisted Coding and Open Enrollment. There were no action items.


 

 

Building Committee:

Committee Chair Englund provided a report; the Building Committee met on November 19, 2019. Topics of discussion included 22nd Avenue Punch List, Parking Lots, Snow Removal, Dialysis Upgrades, 2nd Floor Medical Plaza and General Maintenance/Patch & Paint. There were no action items.


Finance Committee: 

Committee Chair Peterson provided a report; the Finance Committee met on November 21, 2019. The committee reviewed and approved the payables, financials and adjustments for October. Members also reviewed the proposed 2020 Operational Budget. Operating incomes are budgeted at 2.19% for Enterprise and 5.81% for Legacy.


            A motion was brought forward from the Finance Committee recommending approval for the FY20 Operating Budget as presented. The motion was seconded by Anderson.


Action: All present voted yes; motion carried.  

 

Quality Committee

Committee Chair Ellsworth provided a report; the Quality Committee met on November 19, 2019. Lynne Thompson, Case Management Director presented information on the Discharge Planning Task Force and Sleep Lab Accreditation. Other topics of discussion included Brookings Health System’s Cesarean Section Rate and Nursing Clinical Skills Fair Recap. There were no action items.


OLD BUSINESS

AHA Rural Healthcare Leadership Conference – February 2-5, 2020

Merkley reminded members registration for the 33rd Annual American Hospital Association (AHA) Rural Health Care Leadership Conference is open and the early bird discount deadline is December 13th.  Morgan, Davidson and Darnall expressed interest in attending.


2020 Board and Committee Meeting Dates

Members agreed to finalize the 2020 Board and Committee meeting date schedule. Board of Trustees meetings will continue to be held the last Monday of each month and all meetings will be eliminated in the months of May and July and November. December’s meetings will be held earlier in the month to eliminate hectic schedules around the Thanksgiving and Christmas Holidays.


A motion was made by Peterson, seconded by Darnall to approve the 2020 meeting schedule.


            Action: All present voted yes; Motion carried.


SDAHO Legislative Forum

Merkley reminded and encouraged members to attend the SDAHO Legislative Forum on December 18th at the Brookings Public Library. 


NEW BUSINESS

Medical Staff Credentialing

A motion was made by Ellsworth, seconded by Peterson to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.


Action:  All present voted yes; motion carried.


Annual Board Evaluation and CEO Performance Evaluation

Members were asked to complete the evaluation forms and return them to Anderson by December 11th. The Administrative Committee will compile results for further discussion at the December Board meeting. The CEO evaluation and salary discussion will be discussed and a recommendation will be made at the December meeting.
