President Morgan called the meeting to order at 5:09 p.m.


INVITED GUEST

Via WebEx, Geoff Knobloch, CPA/Partner with Eide Bailly was introduced and welcomed. Knobloch presented a detailed overview of the FY19 Audit Results. The audit is pending final approval from the State Department of Legislative Audit, however, Eide Bailly is prepared to issue a clean, unmodified audit opinion. Brookings Health statement of operations reflects sizeable growth year over year and is in a strong liquidity net position at $130 million. Knobloch also provided further explanation on the pension expense, GASB 68.


Overall, ratio and benchmark comparisons were mostly strong in relation to other SD hospitals and Moody’s data. Total net position at the end of 2019 was $74.5 million while 2018 was $69.3 million.  Knobloch indicated the audit went very well and financial statements are in good order. 


Knobloch was thanked for his presentation and exited the WebEx at 5:47 p.m.

CEO Report

Merkley commented today, March 30th, is National Doctor’s Day, an annual observance aimed at appreciating the contribution of physicians who serve our community and surrounding area. To thank them for their service, each physician was given a token of appreciation from Brookings Health System.


CFO Report

Wagner noted the Rural Community Health Demonstration (RCHD) Program is scheduled to expire on October 1, 2020 for Brookings Health System. The program provides increased reimbursement to cost-based inpatient and swing-bed patients. Wagner provided further details on payments related to the program. The Business Office and Medical Health Information/Coding areas are becoming more proficient and seeing several improvements with the new Meditech Expanse software.

CNO Report

Hillestad noted, Brookings Health System’s patient survey vendor, NRC, experienced a ransomware attack on their system which has caused a delay in obtaining patient feedback and survey returns. Efforts to return to usual activity are underway.


Board Committee Reports

Finance Committee: 

Committee Chair Peterson provided a report; the Finance Committee met on March 26, 2020. The committee reviewed and approved the payables, financials and adjustments for February. Geoff Knobloch, CPA/Partner with Eide Bailly provided a detailed review of the FY 2019 audit report.


 

 

 

OLD BUSINESS

Meditech Expanse

Merkley commented, according to Avera leadership, Brookings Health System’s Expanse Go Live, went very well. A software conversion of this magnitude is not an easy task but staff were prepared and well trained for a smooth conversion.


Parking Lots – Southwest/Yorkshire Eye Clinic

Merkley noted the bid for expansion of the southwest parking lot and repair of the Yorkshire Eye Clinic lot has been awarded to Bowes Construction. The work will begin as soon as weather permits and completion is targeted for the early part of July.  

 

Rural Community Hospital Demonstration (RCHD) Program

Due to the COVID-19 pandemic, the RCHD extension discussion has taken a back seat. There is still potential but it will be dependent on the financial crisis across the country at this time.


Brookings Health System Strategic Plan

Merkley noted, work has begun on updating the strategic plan and it will be shared with the Board at a later date once completed.  

 

NEW BUSINESS

Medical Staff Credentialing

A motion was made by Ellsworth, seconded by Wosje to approve the credentialing and re-credentialing as recommended by the Medical Executive Committee.

NRHA 2020 Top 20 Performance

Hillestad reported on National Rural Health Association’s process of selecting the 20 highest-ranking prospective payment system hospitals in the country. The determining factors include eight performance pillars; inpatient market share, outpatient market share, quality, outcomes, patient perspective, cost, charge, and financial efficiency. Brookings Health System’s overall index score is 99.5, its best score in the last three years and ranks in the top one percent of all rural and community hospitals.


COVID-19

Merkley provided a summary on the continuation of planning and preparation taking place at Brookings Health System to address the COVID-19 pandemic. Communications started March 12th to prepare the public and staff regarding visitation changes at The Neighborhoods at Brookview and Brookings Hospital to reduce the virus spread and protect patients and residents.  Additionally, the hospital is collecting personal protective equipment to supplement its stock.  During March, to prepare for COVID-19 impacts to the hospital, many elective visits and procedures were reduced and are expected to be minimal through the crisis.  This change in services will have an impact on monthly revenue and income in March and the coming months.  A labor pool has been implemented within the health system to reallocate some staff to places where assistance is needed. Additional discussions are being held with community crisis response leaders for hospital bed capacity in case of need.  Other governmental support from recent Congressional actions will be reviewed for any financial support.  Merkley also commented there has been an abundance of businesses and individuals who have reached out to give various items and food donations of which we are very grateful.
