President Morgan called the meeting to order at 5:00 p.m.

Provider Services Agreement (PSA) Review

Merkley welcomed Patrick Siegling, Clinic Director, Avera Medical Group Brookings. Siegling presented a review of the PSA (Professional Services Agreement) with Avera Medical Group Brookings reporting on changes that have taken place during 2020, COVID-19 Response and Impact. 

 

Siegling also spent a fair amount of time providing an overview on the upcoming conversion to a FQHC for the primary care providers at the Brookings Clinic (specialty care providers will remain under the PSA). FQHC (Federally Qualified Health Centers) are community-based health care providers that receive funds from the HRSA (Health Resources and Services Administration) Health Center Program to provide primary care services to help meet the needs of an underserved area or population. They must meet a stringent set of requirements, including billing for care on a sliding fee scale based on ability to pay. 

 

Patient benefits of a FQHC are sliding fee schedules, enhanced access and medication at reduced costs. The FQHC also aligns closely with Avera’s mission to help the underserved population. Avera’s marketing team is in the process of creating a press release and scripting to inform patients of this change. 

 

Siegling was thanked for his presentation and he exited at 5:37p.m.

CEO Report

Merkley noted Brookings Health System Foundation will be kicking off the annual Employee Giving Campaign in October which is an opportunity for staff to support their fellow co-workers, patients and community. The Foundation also hosted a food and supply drive during the month of September for Feeding Brookings for our community members in need.

 

CFO Report

Wagner shared a few highlights from the 2019 Medicare cost report. With the Rural Community Hospital Demonstration Program sun-setting for Brookings Health in October, an application was submitted for Low Volume Adjustments which was just approved. Capital and Operational budgets for 2021 are underway and CARES funding requirements have been documented and satisfied.

CNO Report

Hillestad commented on Pharmacy department efforts to continue to maintain safety in narcotics usage; Anesthesia implemented individual lockable storage bags containing common narcotics used in patient care. Pharmacy staff are also promoting the use of probiotics for inpatients on antibiotics to reduce or prevent C. defficile infections.

Building Committee Meeting

Committee Chair Englund provided a report; the Building Committee met on September 22, 2020. Topics of discussion included the Parking Lots - Southwest Front Lot and Yorkshire Eye Clinic Lot, Equipment/Loader Garage, HBO Chamber-RestorixHealth, Fall Clean UP/Winter Readiness and Maintenance Staff Retirements.  

 

Finance Committee:  

Committee Chair Peterson provided a report; the Finance Committee met on September 24, 2020. The committee reviewed and approved the payables, financials and adjustments for August, 2020. An update on CARES/PPP funding was also provided.   

 

Quality Committee

Committee Chair Ellsworth provided a report; the Quality Committee met on September 22, 2020. Topics of discussion included CDI (Clinical Documentation Improvement) Documentation Program, PEPPER (Program for Evaluation Payment Patterns Electronic Report), Service Committee Highlights/Action Plans and COVID-19 Update.  

 

NEW BUSINESS

Medical Staff Credentialing

Motion was made by Ellsworth, seconded by Peterson to approve the credentialing and re-credentialing for September as recommended by the Medical Executive Committee. 

 

Action:  All present voted yes; motion carried.  

 

COVID-19

Merkley shared we continue to address the challenges the pandemic is having on our workforce and are working to raise awareness on staff morale across our campus. Brookings Health is also beginning to have critical staffing shortages in some areas due to quarantining or isolation. As hospitalizations increase, bed availability is becoming a complex situation across the state; Brookings Health has received patients being transferred back from Avera McKennan to free up beds as they near their capacity. There continues to be an increase in the number of individuals seeking to be tested and testing supplies remain in short supply. The State Department of Health is beginning to discuss COVID vaccination deployment plans with several healthcare facilities across the state. 

 

EXECUTIVE SESSION

A motion was made by Anderson, second by Darnall to enter into Executive Session at 6:32 p.m. in accordance with SDCL 1-25-2.(1), discussing personnel. Members present were: Morgan, Anderson Darnall, Ellsworth, Englund, Krogh, Peterson, Sell and Wosje; Merkley was also present; motion carried. 

 

While in executive session, the Board discussed the CEO’s Incentive Plan for 2020. Merkley was excused at 6:45 p.m. Upon motion by Englund, second by Peterson the Executive Session concluded at 6:51 p.m. and continued in regular session. 

 

A motion was made by Anderson, second by Krogh to adopt the CEO Incentive Plan for 2020. The CEO Incentive Plan includes measures to align the CEO’s performance to our desired hospital performance and include measures for finance, quality, physician recruitment, and external hospital recognition.

 

Upon motion by Anderson, second by Krogh the meeting adjourned at 6:53 p.m.; motion carried.
