Executive Reports

CEO Report

Merkley noted Brookings Health System recently launched its second community perception survey. The 2016 survey was conducted in-person and online but due to the COVID-19 pandemic, the 2020 survey is being conducted solely online. There has already been an overwhelming number of responses. 

CFO Report

Wagner provided a recap of CARES funding received thus far and what the impact has been to the health system’s YTD Net Operating Income. CARES federal dollars totaled $6.5M and were used to offset losses in revenue, increase in expenses, testing supplies, treating COVID patients, etc. As of now, it appears this will not need to be repaid. Paycheck Protection Program funds totaled $4.4M received through the SBA and were used towards salaries and benefits; the SBA audit will determine forgiveness. Medicare Advance Payment funds totaled $8.3M and had no impact to P&L. Wagner has submitted additional applications for CARES Phase III and South Dakota grants.

CNO Report

Hillestad noted influenza vaccinations are underway. Several clinics are being conducted while maintaining COVID-19 precautions and guidelines. A virtual survey was conducted today for reaccreditation of our Sleep Diagnostics Lab. The survey went very well and we are officially reaccredited. Out of 160 survey items, there were only two (2) minor improvements that need to be addressed.  

 

Board Committee Reports

Administrative Committee Meeting

Committee member Wosje provided a report; the Administrative Committee met on October 20, 2020. Topics of discussion included Board Nominees/Recommendation/Applications, Employee Appreciation/Bonus, COVID-19 Update, Hyperbaric Oxygen/Wound Care Program, 2021 Capital Budget, Board and CEO Evaluation Process, CEO Compensation and CEO Supplemental Executive Retirement Plan Introduction.   

 

Finance Committee:  

Committee Chair Peterson provided a report; the Finance Committee met on October 22, 2020. The committee reviewed and approved the payables, financials and adjustments for September. An update on CARES/PPP funding was also provided. Members reviewed the proposed 2021 Capital Budget; total capital requests are set at $1M and contingency items identified for equipment that may need to be replaced total $156k. $2M is earmarked for a replacement daVinci Robot which is outside the proposed budget.  

 

            A motion was brought forward from the Finance Committee recommending approval for the FY21 Capital Budget as presented. The motion was seconded by Englund. 

 

            Action: All present voted yes; motion carried.  

 

Quality Committee

Committee Chair Ellsworth provided a report; the Quality Committee met on October 22, 2020. Karen Weber, Medical Surgical and ED Director presented an overview on Brookings Health System’s Trauma Program. Other topics of discussion included Promoting Interoperability (Meaningful Use), Human Resources Performance Improvement Project and COVID-19 Update.  

 

NEW BUSINESS

Medical Staff Credentialing

Motion was made by Ellsworth, second by Wosje to approve the credentialing and re-credentialing for October as recommended by the Medical Executive Committee. 

 

Action:  All present voted yes; motion carried.  

 

2021 Board Calendar

Proposed board and committee meeting dates for 2021 were reviewed. The proposed calendar mirrors the current schedule with no meetings being held in the months of May, July and November. A decision and formal action on meeting dates will be taken in December.  

 

Annual Board and CEO Performance Evaluations

Anderson provided information regarding the annual CEO and Board evaluations. The CEO evaluation was created to align with Brookings Health System’s mission, vision and values and the board evaluation is based on responsibilities listed in the board orientation manual.  Both use a 5-scale rating system and allow for comments, which are most helpful in understanding the rational for the score and for capturing any recommended future activities. Members were asked to complete the evaluation forms and return them to Anderson by November 16th, which will allow enough time to compile results for the December 8th Administrative Committee meeting. The Medical Staff CEO Performance evaluation has also been distributed to providers. 

 

COVID-19

Merkley stated the uptick in COVID-19 cases continues to rise and is beginning to affect us with an increase in census and hospitalizations. We are doing all we can to manage our beds, staffing and equipment needs. Daily team huddles are occurring due to the higher percentage of COVID + patients. Earlier today 80% of our busy inpatient census was COVID positive and we don’t anticipate this changing any time soon. Sioux Falls is at a high capacity level and there is less ability to transfer patients which puts additional stress on our facility, census and staffing. Today a press release was issued to close our inpatient care unit to visitors in order to protect both patients and our team.

 

We continue to face very challenging times obtaining testing supplies which is causing extended wait times for results. The State Department of Health is continuing their discussions on COVID vaccination deployment plans.   

 

Hillestad commented the situation is very fluid and changes are occurring by the hour. Brookings Health has an amazing team that are working very hard to care for our patients. Keeping them healthy is our number one goal. 

 

Morgan thanked Leah Brink and Patty Bacon for their work on the City Council.  

 

EXECUTIVE SESSION

Motion was made by Peterson, second by Darnall to enter into Executive Session at 6:15 p.m. in accordance with SDCL 1-25-2.(1), discussing personnel related matters. Members present were: Morgan, Anderson Darnall, Ellsworth, Englund, Krogh, Peterson, Sell and Wosje; Merkley was also present; motion carried. 

 

While in executive session, Merkley described the COVID pandemic impact on personnel and proposed a bonus structure for employees recognizing their commitment to this health system during these unprecedented times. The bonus level would be set by seniority or hours worked and the cost to the organization would be approximately $422k. Upon motion by Peterson, second by Krogh the Executive Session concluded at 6:19 p.m. and continued in regular session. 

 

A motion was made by Peterson, second by Darnall to approve the staff bonus at the level discussed.  

            

Action: All members present, voted yes; motion carried. 

 

The board further discussed similar actions taken by Avera Health and other local hospitals.  Merkley and the Board also discussed the level of COVID regulation advocacy, information sharing with key leaders in the community, and other community safety messages necessary in this time of COVID.  

 

 

Upon motion by Anderson, second by Wosje the meeting adjourned at 6:52 p.m.; motion carried.
